Terms of Service

1. Definitions

  • "Service" refers to the VidViz website, desktop application, API, and all related services.
  • "User," "you," or "your" refers to the individual or entity accessing or using the Service.
  • "We," "us," or "our" refers to VidViz and its operators.
  • "Content" refers to visualizations, projects, presets, and other materials you create using the Service.
  • "Subscription" refers to a paid plan (Lite, Premium, or Pro) that grants access to specific features of the Service.

2. Acceptance of Terms

By creating an account or using the Service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use the Service.

3. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the VidViz desktop application on up to two (2) devices simultaneously for your personal or commercial use.

You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the application. You may not redistribute, sublicense, or resell the application or your license key.

4. Subscriptions and Billing

Lite tier: A one-time purchase that grants perpetual access to the Lite feature set as it exists at the time of purchase. Major version upgrades may require a separate purchase.

Premium and Pro tiers: Recurring subscriptions billed monthly or annually. Your subscription renews automatically at the end of each billing period unless canceled. Prices are in USD and exclude applicable taxes.

Add-on modules: Optional recurring charges that are billed on the same cycle as your base subscription.

All payments are processed by Stripe. By subscribing, you authorize us to charge your payment method through Stripe for the applicable fees.

5. Cancellation and Refunds

You may cancel your subscription at any time from your Dashboard. Upon cancellation:

  • Your subscription remains active until the end of the current billing period.
  • After expiration, the application reverts to Lite functionality. Your projects are preserved but Premium/Pro nodes will be locked.
  • Lite purchases are non-refundable. Subscription refunds may be issued within 14 days of an initial purchase or renewal on a case-by-case basis. Contact support to request a refund.

6. Your Content

You retain all rights to the Content you create using VidViz. We claim no ownership of your visualizations, projects, or exports. You are solely responsible for ensuring you have the rights to any audio, images, or other media you use as inputs.

7. Intellectual Property

The Service, including the desktop application, website, node library, built-in themes, presets, and documentation, is protected by copyright and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDVIZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or abuse the Service. Upon termination, your license to use the application is revoked. You may request export of your data within 30 days of termination by contacting support.

11. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
